These Terms & Conditions ("Terms") constitute a legally binding agreement between Azentra Solutions ("we", "us", "our") and any individual or entity ("you", "User") that accesses our website or engages our services, including website design and development, custom business software, and AI automation solutions.

By visiting our website or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy.

Azentra Solutions provides digital solutions including, but not limited to, business website design and development, custom software and dashboard development, and AI automation systems. The specific scope, timeline, and deliverables for each engagement are defined in a separate project agreement or proposal agreed upon between both parties.

We reserve the right to refuse, modify, or discontinue any service offering at our discretion, and to decline any project engagement without being obliged to provide a reason.

By engaging our services, you confirm that all information you provide — including your business details, project requirements, and contact information — is true, accurate, and complete. You are responsible for keeping this information current throughout the engagement.

You confirm that you have the legal authority to enter into this agreement on behalf of yourself or your organisation, and that you are not barred from receiving services under any applicable law.

You agree to use our services and any deliverables provided solely for lawful purposes. You must not use our services to:

• Infringe any third party's intellectual property, privacy, or other rights
• Distribute spam, unsolicited communications, or misleading content
• Engage in any fraudulent, deceptive, or unlawful activity
• Introduce malware, viruses, or any harmful code into any system
• Violate any applicable laws, regulations, or government orders

We reserve the right to terminate or suspend the delivery of services if we believe you are in breach of these terms, without liability to you.

Payment terms for each project are set out in the relevant proposal or agreement. Unless otherwise specified, an advance payment is required before work commences, with the remaining balance due upon project milestones or completion as agreed.

All fees are exclusive of applicable taxes unless stated otherwise. Late payments may result in a pause in project delivery. Azentra Solutions is not obligated to provide refunds except as expressly agreed in writing in the project agreement.

Upon receipt of full payment for a project, you are granted a non-exclusive licence to use the deliverables (such as the website, application, or software) as agreed in the project scope.

Azentra Solutions retains ownership of all proprietary tools, frameworks, libraries, methodologies, and background technology used in delivering the services. Any open-source components remain subject to their respective licences. You must not reverse engineer, copy, or redistribute any proprietary elements of our work.

Any content, data, or materials you provide to us for use in a project remain your property. You grant us a limited licence to use such materials solely for delivering the agreed services.

Both parties agree to keep confidential any non-public information shared during the engagement (including business requirements, pricing, and technical details) and not to disclose it to third parties without prior written consent, except as required by law.

To the maximum extent permitted by applicable law, Azentra Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising from your use of our services or deliverables.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or any project shall not exceed the total fees paid by you to us for the specific project giving rise to the claim.

If you are dissatisfied with any aspect of our services, your sole remedy is to cease using the deliverables and notify us in writing. This does not affect any rights you may have under applicable consumer protection laws.

Our services may incorporate or recommend third-party tools, platforms, or APIs (such as hosting providers, payment gateways, or AI services). We are not responsible for the performance, availability, or terms of any third-party service. You are responsible for complying with the terms of any third-party service you use in connection with our deliverables.

Neither party shall be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, government actions, internet outages, or third-party service failures. Both parties agree to make reasonable efforts to resume performance as soon as practicable.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through mutual discussion within 30 days of written notice.

If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the courts of Ghaziabad / Delhi NCR, Uttar Pradesh, India.

We reserve the right to update these Terms at any time. Material changes will be communicated via our website or by email to active clients. Continued use of our services after any changes constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
